Accounts and Security

To use this Site, you must register with SFE to open an Account. As part of the registration process, each user will submit his or her email address and select a password. You shall provide SFE with accurate, complete, and updated Account information. Failure to do so shall constitute a breach of this Terms of Service, which may result in immediate termination of your Account. You promise you will not (i) select or use the email address of another person with the intent to impersonate that person; (ii) use a name subject to the rights of any other person without authorization; (iii) use an email address that SFE, in its sole discretion, deems inappropriate or offensive; or (iv) breach any representation, warranty or promise made by you in this Terms of Service regarding your Account.

You agree to notify SFE of any known or suspected unauthorized use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You shall be responsible for maintaining the confidentiality of your password. It is your sole responsibility to protect your password and not share your password with any other person or entity. Accordingly, you understand and agree that you shall be liable for any activity performed by anyone using the Site with your email address and password.

SFE may immediately terminate your Account, or suspend your access to your Account, in its sole discretion and without notice, for conduct that SFE believes is: (i) illegal, fraudulent, harassing or abusive; (ii) a violation of this Terms of Service or any other policies or guidelines posted by SFE; or (iii) harmful to other users, third parties, or the business interests of SFE. Use of an Account for illegal, fraudulent or abusive purposes may be referred to law enforcement authorities without notice to you. You shall be liable for any activities on or uses of your Account even if such activities or uses were not committed by you. If you file a claim against SFE, or a claim which in any way involves SFE, then SFE may terminate your Account. Upon termination of your Account by SFE for any of the above-mentioned reasons, (i) you may not establish a new Account for a period of one year from the date of termination, (ii) SFE will have no obligation to notify any third parties regarding such termination, and (iii) you will be responsible for any damages that may result or arise out of termination of your Account.

You may only use this Site and/or open an Account if your applicable jurisdiction allows you to accept this Terms of Service.

Things You Agree To Do

In connection with your use of the Site, when you publish ads you agree to:

• Keep our ad serving code on your site until all ads that have been sold on your site have finished running.

• Keep the site description current on our site current to provide accurate information to potential advertisers.

• Approve or deny ads in a timely fashion. When an ad is sold on your site it will immediately start to be displayed. You have up to 48 hours to deny any advertisement placed on your site. After that time, if you have not approved or denied the advertisement, it will be automatically approved. It is your responsibility to review all advertising that is purchased for placement on your web site.

• Accept the SFE's terms for release of statistical information. Such information shall be generally released for any given day on the next day. The click and impression statistics are estimates and may be subject to revision due to errors in processing or the discovery of fraudulent clicks.

• Notify us via email if you wish to permanently close your Account.

• Accept the SFE's terms for payment, which include deferring de minimus payments of less than $25 in any given month to the following month, or until such time as the payment reaches $25.

• Receive periodic email announcements from the SFE about ads sold on your site and changes to the services provide by us.

In connection with your use of the Site, when you buy an ad you agree to:

• Write ads that do not break the law or are offensive.

• Rate the ads in line with guidance provided by us to ensure that ads are displayed on appropriate sites.

• Check that the ad links to the correct content

Things You Agree Not To Do

In connection with your use of the Site, you agree not to:

• If you have sold advertising space on your web site using the Site, remove the SunlightAds.com ad code prior to the end of all paid campaigns.

• Engage in any "click spamming" (artificially inflating click counts or using any mechanism or process to entice your site visitors to click advertisements placed through the Site, or otherwise induce a visitor to click on an ad other than when visitors are actually interested in the product or service being offered). Click Spamming will result in your account losing credit for said clicks, and your account may be terminated. Further, if we determine that a link was purchased fraudulently, the link will be removed and no payments will be made to the site owner. We have a fraud detection team that works to detect fraud as early as possible to minimize such circumstances. Any person making a fraudulent purchase will be reported to the appropriate authorities and banned from future purchases.

• Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

• Use the Site to harm minors in any way.

• Use the Site to impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity.

• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Site.

• Remove any proprietary notices from this Site.

• Cause, permit or authorize the modification, creation of derivative works, or translation of the Site without the express permission of SFE.

• Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

Your Representations and Warranties

You represent and warrant that:

Refund Policy

If you purchase an ad and then contact us prior to the ad running to indicate that you no longer wish to run the ad, SFE will cancel and refund the ad provided that (1) it has not yet started to be displayed and (2) that SFE is informed in a timely manner so that the ad can be canceled during normal business hours prior to the ad start time.

Indemnity

You agree to indemnify, defend and hold harmless SFE, and its subsidiaries, affiliates, officers, parent companies agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties"), at your expense, against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, reasonable attorneys' fees and other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to your (i) submission of Content to the Site, (ii) violation or breach of any term of this Terms of Service or any policy or guidelines referenced herein, or (iii) use or misuse of this Site.

Severability
